These Terms and Conditions ("Terms") govern your access to and use of eboniecosbert.com (the "Site"), our email communications sent through Flodesk, our digital products and storefront hosted on Stan Store, and any coaching, speaking, workshop, or related services (collectively, the "Services") offered by Ebonie Cosbert, operating as Ebonie Cosbert Coaching Co. and under the personal brand From Heels to Flip-Flops™ ("Company," "We," "Us," or "Our").

By visiting the Site, subscribing to our email list, purchasing a digital product, enrolling in a coaching program or masterclass, or otherwise using the Services, you ("You" or "Your") agree to be bound by these Terms. If you do not agree, please discontinue use of the Services.

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Services. Use of the Services by a minor is a violation of these Terms, and we reserve the right to terminate access if this is discovered.

Ebonie Cosbert Coaching Co. provides executive, leadership, and life coaching; speaking engagements; and digital educational content, including the Clarity & Confidence Masterclass, the Clarity & Confidence Accelerator, downloadable workbooks and journals, and related lead magnets and video content (collectively, the "Offerings").

Coaching, in all forms, is a partnership focused on personal and professional growth and is fundamentally different from therapy, counseling, medical care, legal advice, or financial planning. Section 8 of these Terms explains this distinction in more detail.

We use trusted third-party platforms to deliver the Services, including but not limited to Stan Store (digital product delivery and checkout), Flodesk (email communications), Zapier (automation between platforms), Loom (video hosting and delivery), and payment processors such as Stripe or PayPal. Each of these platforms maintains its own terms of service and privacy policy, which govern the portion of the Services delivered through that platform.

We make reasonable efforts to choose reliable providers, but we are not responsible for outages, data loss, delivery delays, or errors caused by these third-party platforms, and your sole recourse for such issues is directly with the applicable provider, except where required otherwise by law.

All content made available through the Services — including the Clarity & Confidence Masterclass and all module videos, workbooks, journals, frameworks (including but not limited to the Three C's of Clarity, the Five Clarity Blockers, the Confidence Equation, the Four Confidence Gaps, the Calling Compass, and the MOVE Framework), written copy, graphics, logos, the From Heels to Flip-Flops™ name, and all other original material — is the sole and exclusive property of Ebonie Cosbert and Ebonie Cosbert Coaching Co., protected under United States copyright and trademark law.

You may not copy, reproduce, republish, distribute, teach, resell, or otherwise use Our copyrighted frameworks or materials, in whole or in part, for commercial purposes, without Our prior written consent. Unauthorized use may result in a request to cease use, and, where necessary, legal action to protect Our intellectual property.

When You purchase or opt in to receive a digital product (such as the 5-Day Challenge, a workbook, or the Masterclass), You are granted a limited, non-exclusive, non-transferable, revocable license to access and use that product for Your own personal or professional development.

You may:

● Download and/or print materials for Your own personal use.

● Reference Our frameworks in Your own personal reflection, journaling, or goal-setting.

You may not:

● Share, resell, or forward access to any paid Offering with someone who has not purchased it.

● Publicly teach, repackage, or present Our proprietary frameworks as Your own.

● Post video links (including Loom links) publicly or share them outside of Your own personal use.

● Reproduce workbook content for use with Your own clients or audience without written permission.

If You submit a testimonial, review, comment, or other content to Us (by email, social media, contact form, or otherwise), You grant Us a non-exclusive, royalty-free, worldwide right to use, reproduce, and display that content in connection with promoting the Services, including Your first name and, where provided, professional title. You agree not to submit content that is false, misleading, offensive, or that violates the rights of any third party.

All prices for digital products, the Masterclass, the Accelerator, and coaching packages are listed at the time of purchase. We reserve the right to change pricing for future purchases at any time; changes will not affect an Offering You have already purchased.

Digital Products & Group Programs (Masterclass, Accelerator, downloadable workbooks/journals)

Due to the immediate access to digital content upon purchase, all sales are final, and no refunds will be issued once access has been granted. We encourage You to review the Offering description carefully before purchasing, or to reach out to us at info@eboniecosbert.com with any questions prior to checkout.

1:1 Coaching Sessions & Packages

Coaching sessions must be rescheduled or canceled with at least 24 hours' notice by emailing info@eboniecosbert.com or contacting us directly. Sessions canceled or rescheduled with less than 24 hours' notice, or missed without notice, will be counted as used and are non-refundable. Coaching package fees are non-refundable once the engagement has begun, except as otherwise agreed to in a separate signed coaching agreement.

Chargebacks

You agree to contact Us directly to resolve any billing concern before initiating a chargeback with Your bank or card issuer. We reserve the right to present proof of Your purchase, access, and these Terms to any financial institution investigating a disputed charge.

Ebonie Cosbert is an ICF-certified Professional Certified Coach (PCC) and Maxwell Leadership Certified Coach. Coaching is a collaborative, forward-focused process designed to support personal clarity, confidence, and goal achievement. Coaching is not therapy, counseling, psychiatric care, medical treatment, legal advice, or financial planning, and is not a substitute for those services. If you are experiencing a mental health crisis, please contact a licensed mental health professional or, in the United States, call or text 988 (Suicide & Crisis Lifeline).

Our content and coaching integrate a Christian faith perspective, including Scripture references, as a reflection of our own values. Participation in any Offering is voluntary, and We do not require agreement with any particular faith tradition to benefit from the coaching, educational, or leadership content provided.

Individual results from coaching, the Masterclass, the Accelerator, or any Offering will vary based on Your own effort, circumstances, and application of the material. Testimonials and case studies described in Our marketing (including advancement-rate statistics) reflect individual outcomes and are not a guarantee that You will achieve similar results. We make no promises of specific career, financial, or personal outcomes.

By subscribing to our email list (via Flodesk) or purchasing an Offering (via Stan Store), you consent to receive electronic communications from Us, including educational content, coaching promotions, and transactional emails related to your purchase. You may unsubscribe from marketing emails at any time using the link provided in each email; transactional emails related to a purchase you've made may continue as needed to deliver that Offering.

THE SITE, EMAIL CONTENT, AND ALL OFFERINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, EBONIE COSBERT AND EBONIE COSBERT COACHING CO. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE, EMAIL CONTENT, COACHING, OR ANY OFFERING, INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, LOSS OF DATA, OR PERSONAL OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify and hold harmless Ebonie Cosbert, Ebonie Cosbert Coaching Co., and its affiliates, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from Your breach of these Terms, Your misuse of the Services, or Your violation of any law or third-party right.
